Terms of Service

1. Acceptance of Terms
By accessing or using the SupaSec platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and SupaSec ("we," "us," or "our"). Please read them carefully before using the Service.
2. Service Description
SupaSec is an AI-powered executive assistant that integrates with WhatsApp. The Service provides:
- Passive listening to your WhatsApp conversations to build context and memory
- AI-driven skills including meeting scheduling, commitment tracking, and intelligent reminders
- Integration with third-party services (Google Calendar, Gmail, Microsoft Outlook, OneDrive) via OAuth connectors
- Per-user encrypted data storage with end-to-end encryption for your messages and media
- A web dashboard for managing your account, viewing memory, and configuring skills
3. Account Registration & Eligibility
To use the Service, you must create an account and link your WhatsApp device. You represent and warrant that:
- You are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater
- You have the legal capacity to enter into a binding agreement
- All information you provide during registration is accurate and complete
- You will maintain the security of your account credentials
You are responsible for all activity that occurs under your account. If you suspect unauthorized access, you must notify us immediately.
4. WhatsApp Linked Device Usage
The Service requires you to link your personal WhatsApp account as a "linked device." By doing so, you:
- Grant SupaSec permission to access and process your WhatsApp messages, media, and metadata for the purpose of providing the Service
- Acknowledge that SupaSec passively listens to all conversations (group and direct messages) accessible through the linked device
- Confirm that you have the right and authority to share the conversations you participate in with a third-party service
- Agree to comply with Meta/WhatsApp's Terms of Service and acceptable use policies at all times
You may unlink your WhatsApp device at any time through the dashboard or by removing the linked device from WhatsApp settings.
5. Subscriptions & Billing
SupaSec offers the following subscription tiers:
- Lite — Basic features including AI chat and WhatsApp linking
- Standard — Includes skills, memory search, media processing, and connectors
- Pro — Full access including advanced memory processing, priority support, and all current and future features
All paid subscriptions are billed monthly through Stripe. By subscribing, you authorize recurring charges to your payment method. Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.
Refund policy: We do not offer refunds for partial billing periods. If you cancel your subscription, you will retain access to paid features until the end of your current billing period.
6. Free Trial
New users may be eligible for a 5-day free trial of paid features. No credit card is required to start a free trial. At the end of the trial period, you will need to subscribe to a paid plan to continue using premium features.
We reserve the right to modify or discontinue the free trial offer at any time without prior notice.
7. Acceptable Use Policy
You agree not to use the Service to:
- Send spam, unsolicited messages, or bulk communications through WhatsApp
- Transmit, store, or process any illegal, harmful, or objectionable content
- Violate any applicable laws, regulations, or third-party rights
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Circumvent or interfere with any security features or access controls
- Use the Service for any purpose that competes directly with SupaSec
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Violation of this policy may result in immediate suspension or termination of your account.
8. Intellectual Property
The Service, including its software, design, features, documentation, and branding, is owned by SupaSec and protected by intellectual property laws. Nothing in these Terms grants you ownership rights in the Service.
Your data: You retain full ownership of all content, messages, media, and data you provide to or generate through the Service. We claim no ownership over your data. We only process your data as necessary to provide and improve the Service, as described in our Privacy Policy.
9. Third-Party Services
The Service integrates with third-party platforms and services, including but not limited to:
- WhatsApp / Meta — For message delivery and linked device functionality
- Google — For Calendar, Gmail, and Drive integrations via OAuth
- Microsoft — For Outlook Calendar, Mail, and OneDrive integrations via OAuth
- Stripe — For payment processing and subscription management
Your use of these third-party services is subject to their respective terms and privacy policies. SupaSec is not responsible for the availability, accuracy, or conduct of any third-party service. We disclaim all liability arising from your use of third-party integrations.
10. Disclaimers & Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at any particular time. AI-generated responses and suggestions are provided for informational purposes only and should not be relied upon as professional advice.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUPASEC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO SUPASEC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
12. Termination
By you: You may terminate your account at any time by unlinking your WhatsApp device and deleting your account through the dashboard or by contacting us.
By us: We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. Data retention following termination is governed by the "Data Retention & Deletion" section below.
13. Data Retention & Deletion
Upon account cancellation or termination, we will retain your data for 30 days to allow for account recovery. After the 30-day retention period, all of your personal data, including messages, episodes, entities, memory chunks, media files, encryption keys, and connector tokens, will be permanently and irreversibly deleted from our systems.
Billing records may be retained for longer periods as required by applicable tax and accounting regulations.
14. Governing Law & Dispute Resolution
Primary jurisdiction: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Brazilian consumers: If you are a consumer residing in Brazil, you are entitled to the protections of the Brazilian Consumer Defense Code (Código de Defesa do Consumidor — CDC, Law No. 8.078/1990). In case of conflict between these Terms and the CDC, the CDC shall prevail. Disputes may be submitted to the consumer court of your domicile.
EU/EEA users: If you are a consumer residing in the European Union or European Economic Area, nothing in these Terms affects your rights under mandatory consumer protection legislation in your country of residence. Pursuant to GDPR Article 79, you may bring proceedings before the courts of the Member State where you have your habitual residence.
For all other users, any disputes shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, with the arbitration taking place in Wilmington, Delaware.
15. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will provide at least 30 days' advance notice via email or a prominent notice on the Service before the changes take effect.
Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.
